1. Who we are and what these terms cover

StratStar is a strategy management application operated by EQIQ Professional Services Ltd ("EQIQ", "we", "us", "our"), registered in England and Wales, company number 05882293, registered address 1 Parsons Street, Dudley, DY1 1JJ.

These Terms of Service ("Terms") govern your access to and use of the StratStar application and services at www.stratstar.com. By creating an account or using StratStar you agree to these Terms. If you are using StratStar on behalf of an organisation, you agree to these Terms on behalf of that organisation.

If you do not agree to these Terms, do not use StratStar.

2. Your account

2.1 Registration

To use StratStar you must create an account with a valid email address. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

2.2 Accuracy

You agree to provide accurate, current, and complete information when creating your account and to keep it up to date.

2.3 Users and roles

An account belongs to your organisation. The account Owner, and any Admins, can invite other people to the account, each with their own login and a role (Owner, Admin or Member) that controls what they can do. Each person must use their own login; you may not share login credentials. You are responsible for who you invite, the roles you give them, and removing access when someone should no longer have it.

2.4 Age

You must be at least 16 years old to use StratStar.

3. Subscriptions and payment

3.1 Plans

StratStar is offered on a subscription basis. Pricing and plan details are shown at www.stratstar.com. We reserve the right to change pricing with at least 30 days' notice to existing subscribers.

3.2 Payment

Payments are processed by Paddle (our Merchant of Record). We do not store your card details. By subscribing you authorise Paddle to charge your payment method on a recurring basis. Paddle's own terms and privacy policy apply to payment processing.

3.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not offer refunds for unused time within a billing period, except under our money-back guarantee (section 3.4) or as required by law.

3.4 30-day money-back guarantee

There is no free trial. Instead, if you are not satisfied, you can ask for a full refund of your first payment within 30 days of first subscribing, with no questions asked. Email jon@stratstar.com; the refund is made through Paddle to the payment method you used. The guarantee applies once per organisation, to its first subscription. Your subscription ends when the refund is made.

3.5 Taxes

Prices shown may be exclusive of VAT and other applicable taxes, which will be added at checkout where required by law.

4. Acceptable use

You agree not to use StratStar to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to our systems or another user's account
• Scrape, crawl, or extract data from the service by automated means without our written consent
• Resell or sublicense access to StratStar without our written consent
• Use StratStar to develop a competing product or service
• Harass, abuse, or harm any person

We reserve the right to suspend or terminate accounts that violate this policy.

5. AI features and Anthropic's usage policy

StratStar's AI-powered features are provided through Anthropic PBC's Claude API. Anthropic is an independent third-party service provider. EQIQ Professional Services Ltd (trading as StratStar) is not affiliated with, endorsed by, or a representative of Anthropic.

StratStar uses the Anthropic API to power AI features including the AI Coach, Strategy Build Wizard, and AI-generated analysis.

By using these features you acknowledge and agree that:

• Your strategy content and company context will be transmitted to Anthropic for processing
• Your use of AI features is also subject to Anthropic's Usage Policy, which is incorporated into these Terms by reference
• You will not use AI features to generate content that violates Anthropic's Usage Policy, including content that is harmful, deceptive, or illegal
• Anthropic's API does not use your inputs to train its models by default

We cannot guarantee continuous availability of AI features, as this depends on Anthropic's service infrastructure. We are not liable for any interruption, change in capability, or discontinuation of Anthropic's services.

All AI-generated content — including strategy suggestions, phase assignments, risk assessments, and coaching responses — is advisory only. It does not constitute professional business, strategic, legal, or financial advice. You remain solely responsible for all strategic decisions made using StratStar.

If Anthropic's Usage Policy changes in a way that affects your use of StratStar we will notify you.

5.1 What StratStar is for

StratStar provides technology, analysis and decision support for managing an organisation's strategy. Your management makes and carries out strategic decisions. You are responsible for checking AI-generated content before relying on it, and for the information you give StratStar.

StratStar is not designed for, and you must not use it as the basis for:

• Employment decisions about identifiable individuals — for example hiring, dismissal, redundancy, promotion, pay, discipline or judging an individual's performance. StratStar may show how work and ownership are spread across your organisation; it does not assess people.
• Investment or financial advice — for example whether to buy, sell or hold investments or financial products.
• Regulated decisions — for example medical, legal, credit, insurance or safety-critical decisions. Organisations in regulated sectors may use StratStar for general strategy management, but not for the regulated decision itself.
• Decisions made without a person — StratStar does not make or carry out material decisions on its own. AI suggestions only change your strategy when a person in your organisation chooses to apply them.
• Predicting success — StratStar does not give percentage chances or guarantees that a strategy, objective or action will succeed, and its scores and signals must not be presented as such.

6. Your content and data

6.1 Ownership

You retain full ownership of all strategy content, company context, and other data you enter into StratStar ("Your Content"). We do not claim any ownership over Your Content.

6.2 Licence to us

You grant EQIQ a limited licence to store, process, and transmit Your Content solely to the extent necessary to provide the StratStar service to you (including transmitting relevant content to Anthropic when you use AI features).

6.3 Responsibility

You are responsible for ensuring Your Content does not violate any law or third-party rights.

StratStar lets you keep a list of the people in your organisation, give work an owner by name, and email a question form to a person you name. When you do this you are responsible for having a lawful basis to use those people's names and email addresses in StratStar, and for telling them as the law requires. See our Privacy Policy for what we keep.

Beyond names, teams and work email addresses, do not enter personal data about individuals — for example contact details, salary or other HR information, health information, or personal data about your customers — or confidential terms you have agreed with third parties.

6.4 Documents you upload

When you upload a document you confirm that you have the right to upload it and to let StratStar process it as described in these Terms and our Privacy Policy (including sending its content to Anthropic when "Include in AI" is on), and that it doesn't include personal or confidential information it shouldn't.

6.5 Data export

You can export Your Content at any time in JSON format via Data → Export within the application. We will also provide an export on request.

6.6 Deletion on termination

When an account Owner asks for the account to be deleted, we wait 14 days in case it was a mistake, then permanently delete Your Content. A copy may remain in our backups for up to 7 more days. If you can't use the app, email us and we will delete it within 30 days. Billing records are retained for 7 years as required by law. See our Privacy Policy, section 4.

7. Intellectual property

7.1 StratStar

The StratStar application, including its design, code, branding, and all content we create, is owned by EQIQ Professional Services Ltd and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from StratStar without our written consent.

7.2 Feedback

If you submit feedback, suggestions, or ideas about StratStar, you grant us the right to use that feedback without restriction or compensation to you.

8. Confidentiality

You may use StratStar to record confidential business information. We treat Your Content as confidential and will not access it except to provide the service, respond to a support request you have raised, or as required by law. Our staff access to production data is restricted and logged.

9. Disclaimers

StratStar is provided "as is" and "as available". To the maximum extent permitted by law:

• We do not warrant that StratStar will be uninterrupted, error-free, or free of viruses
• AI-generated content (suggestions, analysis, phase assignments, RAID reports) is advisory only — it does not constitute professional business, legal, financial, or strategic advice. You are responsible for all decisions made using StratStar
• We do not warrant that AI outputs are accurate, complete, or fit for any particular purpose
• No outcome guarantee: we do not promise that using StratStar will achieve any particular result, including that your strategy, objectives or actions will succeed. Results depend on your decisions and on matters outside our control

10. Limitation of liability

To the maximum extent permitted by applicable law, EQIQ's total liability to you for any claim arising out of or relating to these Terms or your use of StratStar will not exceed the total fees you paid to us in the 12 months preceding the claim.

We will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless EQIQ Professional Services Ltd, its officers, directors, and employees from any claims, losses, or damages (including reasonable legal fees) arising from: (a) your use of StratStar in violation of these Terms; (b) Your Content; or (c) your violation of any applicable law or third-party rights.

12. Termination

12.1 By you

You may close your account at any time from account settings or by emailing jon@stratstar.com.

12.2 By us

We may suspend or terminate your account immediately if you materially breach these Terms, if required by law, or if we reasonably believe your use of StratStar poses a risk to the security or integrity of the service. We will notify you unless prohibited by law.

12.3 Effect of termination

On termination, your right to access StratStar ceases immediately. Your Content will be deleted as described in section 6.6.

13. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or by a notice within the application at least 14 days before the change takes effect. Your continued use of StratStar after the effective date of any change constitutes acceptance of the revised Terms.

14. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your use of StratStar will be subject to the exclusive jurisdiction of the courts of England and Wales.

If you have a complaint, please contact us first at jon@stratstar.com — we will do our best to resolve it informally before any formal proceedings.

15. General

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and EQIQ regarding StratStar.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
• No waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights to a successor entity in a merger or acquisition.
